These terms govern your access to and use of the Zyveni platform. Please read them carefully before creating an account.
1. Acceptance of terms
By creating a Zyveni account or using the Zyveni platform, you agree to these Terms & Conditions. If you are using Zyveni on behalf of an organisation, you confirm that you have authority to bind that organisation to these terms.
2. The service
Zyveni is a software platform that helps businesses run campaigns, automations, chatbots, AI agent conversations and a shared team inbox through the official Meta tech provider. Zyveni is a Meta Tech Provider. Zyveni is not affiliated with, endorsed by, or sponsored by WhatsApp LLC or Meta Platforms, Inc.
3. Account registration
- You must provide accurate and complete information and keep it up to date.
- You are responsible for safeguarding your login credentials and all activity under your account.
- You must use a business phone number that you are authorised to use for official Meta tech provider messaging.
4. Acceptable use
You must comply with all applicable laws and with the WhatsApp Business Messaging Policy, WhatsApp Commerce Policy and Meta platform terms. The following are prohibited:
- Sending messages to recipients who have not provided valid opt-in consent.
- Spam, bulk unsolicited messaging, or purchasing contact lists.
- Misleading, fraudulent, abusive, hateful or illegal content.
- Content in restricted categories prohibited by WhatsApp/Meta policies.
- Attempting to reverse engineer, disrupt, or gain unauthorised access to the platform.
5. Subscriptions and fees
Platform subscription fees are billed in advance for the selected plan and billing period. Prices are listed in INR and are exclusive of applicable taxes. Yearly billing is offered at a 10% saving compared with twelve monthly payments.
Messaging charges are determined by WhatsApp/Meta and may vary by conversation category and recipient country.
6. Cancellation and suspension
You may cancel your subscription at any time; access continues until the end of the current billing period. We may suspend or terminate accounts that violate these terms, WhatsApp/Meta policies, or applicable law, or that create risk for the platform or other users.
7. Third-party dependencies
The service depends on the official Meta tech provider channel and other third-party providers. Template approvals, messaging limits, quality ratings, pricing and account status are controlled by WhatsApp/Meta. Zyveni is not responsible for decisions, outages or policy changes made by third parties.
8. Intellectual property
Zyveni and its licensors retain all rights in the platform, software, and brand assets. You retain all rights in your own content and customer data. You grant Zyveni a limited licence to process your content solely to provide the service.
9. Service availability
We aim to keep the platform available and reliable but do not guarantee uninterrupted operation. Maintenance, updates and factors outside our control may affect availability.
10. Limitation of liability
To the maximum extent permitted by law, Zyveni is not liable for indirect, incidental, special or consequential damages, or for lost profits, revenue, data or goodwill. Our aggregate liability is limited to the platform subscription fees paid by you in the three months preceding the claim.
11. Indemnity
You agree to indemnify Zyveni against claims arising from your content, your messaging practices, your lack of recipient consent, or your breach of these terms or applicable policies.
12. Changes to these terms
We may update these terms from time to time. Material changes will be notified through the platform or by email, and continued use after the effective date constitutes acceptance.
13. Governing law
These terms are governed by the laws of India, and the courts of India shall have jurisdiction over any dispute arising from them.
